Welcome to MatchPoint (“we,” “us,” “our”). By accessing or using our professional networking app (the “App”), you agree to comply with and be bound by the following terms and conditions (the “Terms”). If you do not agree with these Terms, you should not use the App.

1. Acceptance of Terms

By downloading, installing, or using the App, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the App.

2. Eligibility

To use the App, you must be at least 18 years old and capable of entering into a legally binding agreement.

3. User Accounts

  • Registration: You must create an account to use the App. You agree to provide accurate, current, and complete information during registration.
  • Account Security: You are responsible for maintaining the confidentiality of your account information, including your password. You agree to notify us immediately of any unauthorized use of your account.
  • Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or if we suspect fraudulent or illegal activities.

4. User Conduct

You agree to use the App only for lawful purposes and in a way that does not infringe the rights of others or restrict or inhibit anyone else’s use of the App. Prohibited behavior includes, but is not limited to:

  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Posting, transmitting, or otherwise making available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Engaging in any activity that would constitute a criminal offense or give rise to a civil liability.

5. User Content

  • Ownership: You retain ownership of any content you post, upload, or otherwise make available through the App (“User Content”).
  • License: By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the App.
  • Prohibited Content: You agree not to post User Content that violates these Terms or any applicable law.

6. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the App, you consent to our collection and use of your information as described in the Privacy Policy.

7. Intellectual Property

  • Ownership: We own all rights, title, and interest in and to the App, including all intellectual property rights. You agree not to use, copy, modify, or create derivative works based on the App without our prior written consent.
  • Trademarks: The MatchPoint name, logo, and any other product or service names, logos, or slogans that appear in the App are our trademarks and may not be used without our prior written permission.

8. Disclaimers

  • No Warranties: The App is provided on an “as-is” and “as-available” basis. We disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • No Guarantee of Results: We do not guarantee any specific results from the use of the App.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the App.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the App.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party.
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App.

10. Indemnification

You agree to indemnify, defend, and hold harmless The MatchPoint and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the App. Your continued use of the App after such changes will constitute your acceptance of the new Terms.

12. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the App will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in New Jersey, and the arbitrator’s decision will be enforceable in any court of competent jurisdiction.

14. Subscription and Payments

  • Subscription Types
    We may offer different subscription plans for Vendors, Event Organizers, and End Users (collectively, “Subscribers”). The features, pricing, and terms of each subscription plan will be described within the App or on our website at the time of purchase. Certain Vendors or Event Organizers may access premium features without a paid subscription at our discretion.
  • Billing and Renewal
    Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually), as selected by you at the time of purchase. Your subscription will automatically renew at the end of each billing cycle unless you cancel it in accordance with these Terms. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis without requiring your prior approval for each renewal, until you cancel.
  • Cancellation
    You may cancel your subscription at any time through your account settings in the App or in the website admin for vendor and event organizers. Cancellations will take effect at the end of your current billing cycle. You will not receive a refund or credit for any partial subscription periods, except where required by law. 
  • Free Trials and Promotional Offers
    We may offer free trials or promotional subscriptions from time to time. If you sign up for a trial, you may be required to provide payment information. Unless you cancel before the end of the trial period, your subscription will automatically convert to a paid subscription, and you will be charged the applicable fees.
  • Changes to Subscription Plans
    We reserve the right to modify or discontinue subscription plans or features at any time. Any changes to pricing or subscription features will be communicated to you in advance and will apply beginning with your next billing cycle.
  • Taxes
    All fees are exclusive of applicable taxes, and you are responsible for paying any taxes associated with your subscription, as required by applicable law.
  • Payment Failures
    If your payment method fails or your account becomes past due, we may suspend or terminate your access to subscription features until payment is received. You remain responsible for any unpaid amounts.

15. General

  • Entire Agreement: These Terms constitute the entire agreement between you and The MatchPoint regarding the App and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
